湖南省國資委以管資本為主推進職能轉變方案
 
省(sheng)國(guo)(guo)資(zi)(zi)委(wei)為(wei)滲入全面敲定(ding)敲定(ding)黨(dang)中國(guo)(guo)共產黨(dang)、財(cai)政(zheng)部和省(sheng)紀委(wei)、省(sheng)相關(guan)(guan)部門關(guan)(guan)與(yu)深入推(tui)廣國(guo)(guo)資(zi)(zi)國(guo)(guo)營企業(ye)教育體制改(gai)革(ge)的(de)決定(ding)謀劃,推(tui)廣國(guo)(guo)資(zi)(zi)管(guan)理(li)組織 行(xing)政(zheng)主(zhu)要(yao)職(zhi)責轉化成(cheng),會按照《財(cai)政(zheng)部辦(ban)公室(shi)廳關(guan)(guan)與(yu)分享到財(cai)政(zheng)部國(guo)(guo)資(zi)(zi)委(wei)以(yi)管(guan)資(zi)(zi)金有利于(yu)推(tui)廣行(xing)政(zheng)主(zhu)要(yao)職(zhi)責轉化成(cheng)計(ji)(ji)劃設計(ji)(ji)的(de)通知函》(國(guo)(guo)辦(ban)發〔2017〕39號)精神力量(liang),搭(da)配我市預期,制定(ding)出(chu)本計(ji)(ji)劃設計(ji)(ji)。

一、總體要求

(一)指導思想。
 
以(yi)(yi)(yi)李君如新時英文國(guo)(guo)蘇州特色社會的(de)(de)(de)極權主(zhu)(zhu)義的(de)(de)(de)想法為(wei)評價表,全方位(wei)貫徹執行實施黨的(de)(de)(de)19大和19屆(jie)二中、二中農村工(gong)作會議精(jing)(jing)神狀態,可以(yi)(yi)(yi)依(yi)照有(you)(you)幫(bang)(bang)(bang)助(zhu)于國(guo)(guo)企(qi)資(zi)(zi)(zi)產(chan)投資(zi)(zi)(zi)黃金保值曾值、有(you)(you)幫(bang)(bang)(bang)助(zhu)于增(zeng)加自己(ji)國(guo)(guo)企(qi)經(jing)濟(ji)實惠競爭激(ji)烈力、有(you)(you)幫(bang)(bang)(bang)助(zhu)于變小(xiao)國(guo)(guo)企(qi)資(zi)(zi)(zi)產(chan)投資(zi)(zi)(zi)功(gong)用的(de)(de)(de)整體來說規定要(yao)求(qiu),以(yi)(yi)(yi)增(zeng)加自己(ji)國(guo)(guo)企(qi)資(zi)(zi)(zi)產(chan)投資(zi)(zi)(zi)吸收率(lv)、強化(hua)國(guo)(guo)企(qi)中小(xiao)的(de)(de)(de)企(qi)業主(zhu)(zhu)活躍度為(wei)基地,以(yi)(yi)(yi)“重輔(fu)導、精(jing)(jing)管(guan)控(kong)、優服務保障”居多要(yao)線,明(ming)晰(xi)投資(zi)(zi)(zi)人(ren)工(gong)作內容追蹤定位(wei),變動簡化(hua)系統風(feng)險管(guan)控(kong)職責(ze)范圍(wei),精(jing)(jing)筒構(gou)建(jian)風(feng)險管(guan)控(kong)裝修(xiu)細節,完善(shan)簡化(hua)系統風(feng)險管(guan)控(kong)方式,全方位(wei)增(zeng)進國(guo)(guo)企(qi)中小(xiao)的(de)(de)(de)企(qi)業主(zhu)(zhu)黨的(de)(de)(de)搭建(jian),真實增(zeng)加自己(ji)國(guo)(guo)資(zi)(zi)(zi)風(feng)險管(guan)控(kong)的(de)(de)(de)科學合理性、而(er)男人(ren)性和有(you)(you)效地性,減緩保持以(yi)(yi)(yi)管(guan)中小(xiao)的(de)(de)(de)企(qi)業主(zhu)(zhu)居多要(yao)向以(yi)(yi)(yi)管(guan)資(zi)(zi)(zi)產(chan)投資(zi)(zi)(zi)居多要(yao)轉型(xing)。

(二)基本原則。
 
堅持準確定位。省國資委作為省人民政府直屬特設機構,根據授權代表省人民政府依法履行出資人職責,專司國有資產監管,不行使社會公共管理職能,不干預企業依法行使自主經營權。
堅持依法監管。按照權由法授、職權法定和權力、責任、義務相統一的要求,以管資本為主健全監管制度體系,重點管好國有資本布局、規范資本運作、提高資本回報、維護資本安全。
堅持提高效能。按照深化“簡政放權、放管結合、優化服務”的總體要求,明確國資監管重點,調整優化監管職能配置和組織設置,改進監管方式手段,整合監管資源,優化監管流程,加強監管協同,提高監管效率。
堅持激發活力。遵循市場經濟規律和企業發展規律,突出權責一致,將精簡監管事項與完善國有企業法人治理結構相結合,依法放權于企業,激發企業活力、創造力和市場競爭力,打造適應市場競爭要求的現代國有企業。
堅持黨的領導。堅持黨對國有企業政治領導、思想領導、組織領導的有機統一,充分發揮國有企業黨組織的領導作用,把方向、管大局、保落實。完善黨建工作責任制,落實黨建工作主體責任,為國有企業發展提供堅強保障。

二(er)、最主要的(de)工作

(一)強化管資本職能,落實保值增值責任。
 
1.優化國有資本布局。圍繞服務國家和全省發展戰略目標,以提高資本使用效率和效益為中心,按照“有進有退、歸核歸集”的思路,打造國有資本運營平臺、基礎設施投資運營集團、實體產業集團公司。推進產業相近、價值相關、主業相同企業資產整合,歸并各企業相關主業資產,促進企業非主業資產向行業龍頭企業集中,向產業相關的優勢企業流動。推進監管企業戰略性重組,培育一批具有較強競爭力、主業鮮明、優勢突出的企業集團,推動國有資本做強做優做大。

2.完善投資監管體系。服從國家戰略和我省重點產業發展總體要求,管好監管企業投資方向。加強規劃引導和戰略規劃審核,督促企業提升科學論證水平和投資回報水平。改進投資監管方式,制定監管企業投資禁止限制目錄,強化主業管理,探索對部分企業投資項目實施特別監管制度。嚴控投資風險,嚴格規范管理監管企業非主業投資、金融投資、境外投資等事項。完善投資監管制度,開展投資項目第三方評估,防止重大違規投資,依法依規追究違規投資經營責任。

3.突出國有資本運營。以國有資本集中統一優化配置為重點,改組組建國有資本投資、運營公司。采取市場化方式推動設立新興產業投資基金、國企并購重組基金等相關投資基金,助推產業聚集和轉型升級。支持監管企業改制上市、整體上市、主營業務上市,提高資產證券化水平,提高直接融資能力,探索完善產業資本和金融資本有效互動的國有資本運作機制。鼓勵企業追求長遠收益,推動國有資本向重要行業和關鍵領域集中,向戰略性新興產業集中,向高端裝備制造業和現代服務業等行業中具有核心競爭力的優勢企業集中。

4.規范董事會建設。建立健全權責對等、運轉協調、有效制衡的決策執行監督機制,充分發揮董事會的決策作用,實現規范的公司治理。探索完善外部董事制度,優化董事會結構,進一步提升董事會科學決策水平。積極開展落實董事會職權試點工作,按照有關規定逐步落實董事會業績考核、薪酬管理和經理層選聘等職權。建立健全董事會和董事考核評價制度,形成符合公司治理要求的激勵與約束機制。

5.加強委派董事履職管理。按照有關規定嚴格選派、管理股權代表和董事,建立健全出資人委派董事的履職制度規范,建立國有股權代表履職報告和重大事項報告工作制度,保障出資人與出資企業股權代表之間的信息溝通渠道暢通。以公司章程和企業法人治理結構為依托,通過股權代表依法行權履職,確保控股權規范行使、參股權保障到位。

6.健全激勵約束機制。以“業績升、薪酬升,業績降、薪酬降”為準則,實現業績考核和薪酬分配協同聯動,進一步發揮考核分配對企業提質增效和轉型升級的導向作用。改進考核體系和辦法,明確考核重點,科學設置經營業績考核指標及權重,注重對標考核、分類考核、差異化考核。深化國有企業負責人薪酬制度改革,建立與選任方式相匹配、與企業功能性質相適應、與經營業績相掛鉤的差異化薪酬分配辦法,探索中長期激勵機制,完善市場化選聘、契約化管理、差異化薪酬、市場化退出的長效機制。完善國有企業工資分配監管體制,建立健全與勞動力市場基本適應,與企業經濟效益、勞動生產率掛鉤的職工工資決定和正常增長機制。

(二)加強國有資產監督,防止國有資產流失。
 
1.強化出資人監督體系建設。堅持出資人管理和監督的有機統一,將健全規范國有資本運作與防止國有資產流失相結合,完善制度體系,提高制度執行的針對性、有效性。強化約束問責,加大對國有企業違規經營責任追究力度,完善國有資本運營管理和監督檢查鏈條,形成發現、調查、處理問題的監督工作閉環。優化監督工作機制,強化國有資本運營評價和監督檢查成果在業績考核、薪酬分配、干部管理等方面的運用。

2.強化企業財務監督。加強對監管企業重大財務事項的監督。進一步強化監管企業經濟運行分析和國有資產統計評價工作,引導企業更加關注國有資本安全與回報,優化財務預算事前引導、財務快報事中監測、財務決算事后反映的閉環監督管理體系。指導企業重點加強財務風險監測、預警,強化負債規模和負債率雙指標管控,積極穩妥降低杠桿率,切實防范債務風險。

3.健全國有企業專項審計監督體系。配合審計部門完善國有企業和國有資本審計監督體制機制,實現企業國有資本審計監督全覆蓋。加強與相關部門協調聯動,圍繞國有企業重大財務異常、重大資產損失及風險隱患、國有企業境外資產管理等重點開展專項審計,對重大決策部署和投資項目、重要專項資金等開展跟蹤審計。指導企業完善內部審計管理體系,強化內部控制和風險防控。

4.建立協同高效的監督機制。整合出資人監督、紀檢監察、審計、巡視巡察等監督力量,探索建立監督工作協商機制,加強監督統籌,創新方式方法,提高監督效能,切實增強監督有效性。

(三)精簡監管事項,實行清單管理。
 
1.取消一批監管事項。依照權責法定原則,取消沒有明確依據的職責事項,減少事前審批和備案事項,重點加強事后備案和規范指導。

2.下放一批監管事項。以產權關系為紐帶,依法依規將延伸到子企業和各市州國資監管機構的管理事項,原則上歸位于企業集團和各市州國資監管機構。

3.授權一批監管事項。按照企業發展實際情況,采取“一企一授”、“一事一授”方式進行差異化動態授權。探索建立以公司章程為基礎的特別授權監管機制,實現授權與監管相結合、放活與管好相統一。

4.移交一批監管事項。落實政資分開原則,全面梳理出資人機構配合承擔的社會公共管理職能,結合工作實際,提出分類處理建議,交由相關部門和單位行使。

(四)整合相關職能,提高監管效能。
 
1.整合國有企業改革職能。統籌整合企業重組整合、結構優化、改制上市、規范董事會建設等職能,加大對改革改制、管理創新和商業模式創新的指導服務力度,加快完善現代國有企業制度。

2.整合經濟運行監測職能。集中統一開展財務動態監測和經濟運行分析,綜合分析行業與企業情況、經營與財務情況,調度、提供省屬監管企業運行數據,為宏觀調控和國有資產監管工作提供基礎支撐。

3.整合推動科技創新職能。整合新興產業培育、知識產權保護、品牌建設等職能,明確企業科技創新方向和重點任務,組建產業協同發展平臺,協調落實重大科技政策和項目,更好發揮監管企業在創新、創業、創造中的引領帶動作用。

4.整合要素資源配置職能。以要素市場化配置為重點,完善產權制度,促進產權激勵,實現要素自由流動、企業優勝劣汰。堅持質量第一、效益優先,推動企業經營業態和經營管理的創新進步。

5.整合服務監管職能。按照“程序簡化、管理精細、時限明確”的原則,深入推進分事行權、分崗設權、分級授權,科學確定崗位職責權限,確保權力運行協調順暢。

(五)改進監管方式手段,增強監管科學有效性。
 
1.推進法治化監管。嚴格依據法律法規行權履職,健全完善國有資產監管法規體系。加強企業章程管理,注重通過國有企業法人治理結構依法履行出資人職責。

2.推進清單式監管。建立完善出資人監管的權責清單和清單動態調整機制。清單以外的事項由企業依法自主決策,清單以內的事項依法依規減少審批或事前備案。

3.推進差異化監管。突出企業市場屬性,兼顧股權結構、產業特征、發展階段,按照不同類別科學界定不同國有企業功能定位,研究制定差異化的監管目標、監管重點和監管措施,促進經濟效益和社會效益有機統一。

4.推進信息化監管。建立健全出資人監管信息化工作平臺,整合信息資源,探索監管新模式,實現動態監測,提升整體監管效能。依法推進監管信息公開,主動接受社會監督。指導企業加大信息公開力度,積極打造陽光企業。

(六)加強黨的建設,強化管黨治黨責任。
 
1.加強黨的建設與做強做優做大國有企業相統一。落實國有企業管黨治黨主體責任,堅持服務生產經營不偏離。加強基層黨組織和黨員隊伍建設,保證黨組織工作機構健全、黨務工作者隊伍穩定、黨組織和黨員作用得到有效發揮。強化國有企業黨建工作考核結果與企業負責人任免、薪酬和獎懲嚴格掛鉤。

2.加強黨的領導與完善公司治理相統一。鞏固黨組織在國有企業法人治理結構中的法定地位,落實黨建工作入公司章程制度要求,完善黨組織參與前置研究討論重大經營管理事項的規則和程序,使黨組織發揮作用組織化、制度化、具體化。堅持把黨的領導融入公司治理各環節,堅持和完善“雙向進入、交叉任職”的領導體制,進一步厘清黨組織和其他治理主體的權責邊界,做到無縫對接。

3.堅持黨管干部原則與董事會依法選聘經營管理者相統一。堅持黨組織對選人用人的領導和把關作用,保證黨對干部人事工作的領導權和對重要干部的管理權。嚴格國有企業領導人員的選任標準,建立科學合理的考核評價體系,營造既鼓勵干事創業又寬容創新失誤的良好氛圍,樹立正向激勵的鮮明導向。

4.堅持落實黨風廉政建設主體責任與監督責任相統一。組建省國資委黨委巡察機構,建立健全對省屬監管企業的巡視巡察制度,督促國有企業黨組織落實“兩個責任”,實行“一案雙查”,強化責任追究。加強對國有企業執行黨的紀律情況的監督檢查,加大對國有企業黨委(黨組)和黨員領導人員履行管黨治黨責任不力的問責力度。

三、聚集實現
 
省國資委要準確把握出資人監管的職責定位,根據本方案全面梳理并動態調整具體監管職能。堅持試點先行,結合企業實際,分類放權、分步實施,確保放得下、接得住、管得好。建立健全推進職能轉變工作的長效機制,形成支持促進國資國企改革的工作合力,實現國有資本做強做優做大。

各市州可參照本方案要求,結合實際情況,制定本地國有資產監管機構的職能轉變方案。
